Closed Beta Testing Agreement

This Closed Beta Testing Agreement ("Agreement") is entered into by and between Celie AI, LLC ("Company") and all participating entities and individuals who Sign Up for a LinkMyCal account ("Beta Tester”).

BY CREATING A LINKMYCAL BETA ACCOUNT, CLICKING “Agree and Continue," OR ACCESSING THE BETA SERVICES, YOU AGREE TO BE BOUND BY THIS AGREEMENT.

1. Scope & License Grant

Subject to your compliance with this Agreement, Company grants you a limited, non-exclusive, non-transferable, revocable license to access and evaluate the pre-release version of the LinkMyCal synchronization platform ("Beta Services") solely for internal testing, evaluation, and feedback purposes.

2. Experimental Software & Backup Mandate

You acknowledge that the Beta Services represent pre-release, experimental software under active development. The Beta Services are provided strictly "AS IS" and "AS AVAILABLE." You agree that the Beta Services may experience unexpected downtime, calendar synchronization latency, or data loss. You agree to maintain independent secondary calendar backups for all critical scheduling and personal as well as business operations.

3. Feedback Ownership & IP Assignment

You are encouraged to provide bug reports, operational observations, and suggestions to Company. You hereby irrevocably assign to Celie AI, LLC all right, title, and interest (including all intellectual property rights) in and to any feedback, feature requests, workflows, suggestions, or ideas provided regarding the Beta Services. Celie AI, LLC shall be free to use such feedback for any purpose without obligation, royalty, or attribution to you.

4. Pre-Release Confidentiality

You agree to hold all non-public information regarding the Beta Services in confidence. This includes, without limitation, unreleased features, user interface designs, performance benchmarks, software bugs, and backend architecture ("Confidential Information"). You shall not publish screenshots, screen recordings, public reviews, or social media commentary regarding non-public Beta Services features without Company’s prior written consent.

5. Data Privacy & Master Terms Incorporation

This Agreement incorporates by reference Company’s master Terms of Service and Privacy Policy. You reaffirm that you operate as the sole independent Data Controller for all personal as well as customer booking data, contact lists, and calendar entries routed through the Beta Services. Company operates strictly as a Data Processor / Service Provider.

6. Term & Termination

This Agreement commences upon your creation of a LinkMyCal account and continues until terminated. Company reserves the right to suspend or terminate your access to the Beta Services at any time, with or without cause or notice. Sections 3, 4, and 5 shall survive any termination.
